Fund Structuring Legal Counsel – Min 5 Years (F/H)

As a Principal Consultant at Fed Legal, I specialize in recruiting legal and tax professionals on interim, fixed-term, and permanent contracts acrossthe financial services, insurance and real estate, sectors.
Mission
I am currently seeking a Fund Structuring Legal Counsel for a top-tier investment fund.
Your main responsibilities will include:
-Assist in the creation and management of funds and mandates through French (FPCI, SLP) and foreign vehicles, including day-to-day operations such as interpreting LPA clauses, handling investor defaults, and managing transfers of interests.
-Contribute to the drafting and review of fund documentation, including Private Placement Memoranda (PPMs) and Limited Partnership Agreements (LPAs).
Participate in negotiations with investors and service providers.
-Collaborate with the Compliance Department on AMF regulations and liaise with middle-office teams and investor relations.
-Address various legal issues related to fund structures.
Take part in investment committees, board meetings for foreign funds, and advisory board meetings, while drafting the relevant minutes.
-Ensure legal, regulatory, tax, and case law monitoring related to fund structuring.
-Supervise interns within the department.
Votre profil
Master’s degree (M2) in Business Law or Financial Law, complemented by the French Bar Exam (CAPA) and/or an LL.M.
Minimum five years of experience in fund structuring, gained in an asset management company, law firm, or financial institution.
Strong knowledge of investment fund regulations and structuring across multiple jurisdictions.
Ability to draft, review, and negotiate complex legal documents with a detail-oriented approach.
Excellent communication and interpersonal skills, with the ability to work collaboratively in an international environment.
Fluent in English and French (both written and spoken).
